Notice is hereby given that the Annual General Meeting of Assuranceforeningen Gard - gjensidig - (the “Association”) is to be held at Strand Hotel Fevik, Nedre Hausland 80, 4870 Fevik, Norway on Wednesday 18 June 2025 at 18.30 p.m. for the following purposes:
I To receive the Annual Report and Accounts for the year ending 31 December 2024 and, if thought fit, to adopt them
II To elect members of the Board of Directors
Trond Eilertsen and Ian Beveridge shall retire by rotation but can be re-elected.
III To amend the Statutes of the Association
It is proposed to amend the wording of Article 7 of the Statutes of the Association as follows (amendments reflected by underlining and strike-through):
“Article 7 Members of the Board of Directors…
…2. In addition, up to two three persons not otherwise eligible may be elected members of the Board of Directors.
3. No person may be elected or re-elected to the Board of Directors after having attained the age of 70 73 years. A member of the Board of Directors having reached the age limit may continue to serve the remainder of the period for which he has been elected….”
